Welcome to use "EasyBoss" service.

"EasyBoss" adheres to the purpose of better management of stores for merchants, to provide you with quality services. In order to ensure your better use of the EasyBoss platform and services, please be sure to carefully read and fully understand the terms of the EasyBoss User Service Agreement ("Agreement"), especially those that exclude or limit liability and other terms that involve your significant rights and interests. If you are under 18 years of age, please complete it with a legal guardian or have a legal guardian act on your behalf.

Please be aware that when you click to agree to this Agreement, you will be signing the EasyBoss User Service Agreement with the EasyBoss service provider ("we") and using the services we provide to you through our webpage, computer client, and WeChat applet, and by using any of our services, you are deemed to have read, understood and agreed to Accept this agreement. If you do not agree to this Agreement, please stop using our services immediately, but this does not prevent you from viewing the information on the pages.

Based on the importance of the services we provide, you confirm and agree that: the registration information you provide is true, accurate, complete, legal and valid, and the registration information should be updated in a timely manner if there are changes; if the registration information you provide is not legal, true, accurate and detailed, you shall bear the corresponding responsibility and consequences caused by this, and we reserve the right to terminate your use of the EasyBoss services.

I. Service Description

1. Service purpose: better management of stores for merchants.

2. Service Subject: The Service is provided by EasyBoss for you. "The "EasyBoss" is a web platform operated by Fuzhou Jianqiyun Network Technology Co. and related technical services provided around the EasyBoss software products, or "EasyBoss", "we" or "us" in this Agreement.

3. User: means the person who registers, logs in, and uses EasyBoss and the Services, more commonly referred to as "you" in this Agreement.

4. Service content: EasyBoss for merchants to provide technical services SaaS platform, will provide you with including but not limited to commodity collection, commodity loading, batch modification, commodity editing, commodity testing, all kinds of pictures, materials, templates, posters, video production, EasyBoss keying, online puzzles, online store decoration, etc..

5. Service platform: EasyBoss provides EasyBoss or services including, but not limited to, store management for domestic and foreign mainstream e-commerce platforms, as well as multiple types of small programs in. EasyBoss will also be constantly updated and improved to meet your growing needs.

6. Scope of Service License: EasyBoss grants you a non-exclusive, non-exclusive, non-transferable, non-sublicensable license to use EasyBoss.

All other rights not expressly granted herein remain reserved by EasyBoss, and your exercise of such rights requires the separate written permission of EasyBoss. The failure of EasyBoss to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right.

Section 2. About "Account Number"

1. Account registration

1.1 You need to provide the corresponding e-commerce platform service authorization or personal real information to complete the account registration and password settings before using the services of EasyBoss, in order to ensure that the platform services you enjoy are safe, effective and constantly optimized, you agree to authorize EasyBoss to verify and reasonably use your personal information.

1.2 After you have successfully registered, you will become a legal user of EasyBoss. Your account will be used as login credentials and you will be responsible for keeping it. For EasyBoss, your account is the only basis for verifying your identity, and any operation performed by this account is considered your own. If you discover that your account is being used illegally or is vulnerable, please notify EasyBoss immediately. Otherwise, you will be responsible for the improper use.

1.3 You are responsible for the truthfulness, accuracy and legality of the registration information you provide, and for updating your information in a timely manner. If you provide any information that is illegal, unethical or in the opinion of EasyBoss unsuitable for display on EasyBoss, or if EasyBoss has reason to suspect that your information is programmed or maliciously operated, EasyBoss reserves the right to suspend or terminate your account and deny you access to all or any part of the Service now and in the future.

1.4 EasyBoss shall not be responsible for any Registration Data of any User, including but not limited to the responsibility to identify and verify the authenticity, correctness, completeness, suitability and/or up-to-dateness of any Registration Data.

1.5 If you do not want to continue to use our services, you can cancel your account at any time through the webpage, client, applet, but after canceling the member account, we still retain the following rights.

(1) After a registered member cancels, we will continue to retain your platform account, registration data and information, transaction records or any information related to them in accordance with the Personal Information Protection Policy.

(2) If you have violated the law or violated this Agreement or the rules of the Platform on DingmaiER ERP before the cancellation, we may still exercise the rights under this Agreement.

2. User account security

After completing the registration process for the Service and successfully registering, you may use your cell phone number and password to log in to your account on EasyBoss, or to log in to EasyBoss through your e-commerce platform account authorization. it is your responsibility to protect the security of your account. You agree to.

(1) You are solely responsible for all activities that occur using your password and account, including but not limited to any data collection, data creation, data modification, etc. that you perform in EasyBoss. You should place a high priority on maintaining the confidentiality of your account and password and not disclose them to others under any circumstances. You will notify EasyBoss immediately of any unauthorized use of your EasyBoss account, or any other security issues that may arise.

(2) EasyBoss cannot and will not be liable for any loss or damage arising from your failure to keep your account and password secure.

You are responsible for maintaining the security and confidentiality of your personal account and password, and for assuming full legal responsibility for the activities you engage in on behalf of your registered account. If you fail to keep your account and password safe and secure, you will be fully responsible for any damage caused to you, EasyBoss or third parties.

 

Three, user information protection and authorization

The protection of users' personal information is a basic principle of EasyBoss. EasyBoss will fulfill its obligations as a mobile Internet information service provider in accordance with the requirements of laws and regulations to protect your personal information. For details, please see the 《User Privacy Policy》 

Four, user behavior norms

1. Information content specification

You shall be responsible for the authenticity and legality of the information content posted using the EasyBoss Platform and Services. If you need to obtain prior authorization or approval from the right holder of such information content or any entitled third party, you shall obtain such prior authorization or approval; once you publish a piece of information content, you shall be deemed to have obtained such prior authorization or approval.

1.1 You understand and agree that EasyBoss has been committed to providing users with a civilized, healthy and orderly network environment, and that you shall not use EasyBoss to create, copy, publish or distribute any illegal or unlawful content, including but not limited to.

(1) Those that oppose the fundamental principles established by the Constitution

(2) endangering national security, leaking state secrets, subverting state power, undermining national unity, and damaging national honor and interests.

(3) inciting ethnic hatred, ethnic discrimination, and undermining national unity

(4) undermine the national religious policy and promote cults and feudal superstitions

(5) spreading rumors, disturbing social order and destabilizing society.

(6) dissemination of obscenity, pornography, gambling, violence, murder, terrorism or abetting crime

(7) Insulting or defaming others and infringing on their legal rights.

(8) contains false, fraudulent, harmful, coercive, invasive of another's privacy, harassing, offensive, libelous, vulgar, (9) obscene, or otherwise morally objectionable content.

(10) Content that violates the privacy, personal information, copyright, trademark rights and other intellectual property rights or legal rights of others.

(11) Dissemination of commercial advertisements for tobacco, alcohol, drugs, cosmetic surgery, health care products, or similar commercial solicitations, excessive marketing messages and spam.

(12) contains other content that is restricted or prohibited by Chinese laws, rules, regulations, ordinances and any legally binding codes or contains content that EasyBoss considers inappropriate to display.

1.2 You understand and agree that EasyBoss aims to provide diversified, multi-style, and multi-category free fonts and free materials for your use, but you still need to comply with legal regulations and website agreements during your experience.

1.2.1 If you use the images, templates, text, posters and other content downloaded through the EasyBoss platform for advertising purposes, you must not

 (1) the use or disguised use of the national flag, national anthem, national emblem of the People's Republic of China, the military flag, military anthem, military emblem.

 (2) the use or disguised use of state organs, the name or image of the staff of state organs.

 (3) Use of terms such as "national", "top", "best", etc..

 (4) other laws and regulations shall not be used for advertising.

1.2.2 If you use the images, templates, text, posters and other content downloaded from the EasyBoss platform for trademarks, business names, trade names or logos, etc., they must not have the following circumstances.

 (1) the use or disguised use of the flag, national anthem, national emblem of the People's Republic of China, foreign countries, intergovernmental international organizations, military flags, military anthems, military insignia, medals.

 (2) the use or disguised use of the name of the central state organs, logos, the name of a specific location or the name of a landmark building, graphics.

 (3) the use of geographical names of administrative divisions at the county level or above or foreign names known to the public.

 (4) The use of EasyBoss or font providers prohibit the use of fonts and font libraries for the purposes of this article.

 (5) Other laws and regulations shall not be used for the purposes of this article.

1.2.3 If the EasyBoss for you to provide the picture has included the national flag, national emblem, military flag, military insignia, etc., you are prohibited in any way to destroy, deface, scribble, trample, otherwise the legal responsibility shall be investigated by your own.

1.2.4 If the template provided to you by EasyBoss contains a portrait of a person, you shall not use the portrait of a person in the template in an offensive or any immoral manner, such as pornography, plastic surgery, etc. defamatory or with other illegal or immoral content.

1.2.5 EasyBoss will use the e-commerce platform LOGO, brand logo, etc. in e-commerce materials, posters, templates to facilitate the use of e-commerce users, if you are not the e-commerce platform's e-commerce users or you do not participate in LOGO, brand logo corresponding to the e-commerce activities, you may not use the above materials, posters, templates, if you must use, LOGO, brand logo must be removed, otherwise the responsibility and Otherwise, you will bear the responsibility and loss.

1.3 Usage specifications

 Except as permitted by law or as permitted in writing by EasyBoss, you may not do any of the following in the course of using the Service:

(1) Remove copyright information from the Service Software and the Service and its copies;

(2) reverse engineer, reverse assemble, reverse compile, or otherwise attempt to discover the source code of the Service Software and the Service;

(3) the use, rental, lending, reproduction, modification, linking, reprinting, compilation, publication, publication, establishment of mirror sites, etc. of the contents of the EasyBoss owned intellectual property rights.

(4) copy, modify, add, delete, hook up, or create any derivative works of the Service Software, the data released into the memory of any terminal during the operation of the Service, the interaction data between the client and the server during the operation of the Service Software and the Service, and the system data necessary for the operation of the Service Software and the Service, including but not limited to the use of plug-ins, plug-ins, or non-EasyBoss authorized third party tools/services to access the Service and related systems;

(5) adding, deleting, changing the functions or operating effects of the Service Software and the Service by modifying or falsifying the instructions or data in the operation of the Service Software and the Service, or operating or disseminating to the public the software or methods used for such purposes, whether or not these acts are for commercial purposes.

(6) Login or use the EasyBoss services through third-party software, plug-ins, plug-ins, systems that are not developed or authorized by EasyBoss, or create, publish or distribute the above tools.

(7) interfering with the Service Software and the Service and its components, modules and data by itself or by authorizing others or third party software.

(8) Other acts that are not expressly authorized by the EasyBoss or violate laws, regulations and policies.

1.4 Responsibility for your own behavior

The content you send or transmit should be from a legitimate source and the relevant content should be owned by you or you have obtained the necessary authorization. You fully understand and agree that you are responsible for all of your actions, including any content you post and any consequences that may arise from it.

V. Handling of non-compliance

1. If EasyBoss finds or receives complaints from others about your violation of this Agreement or any malicious behavior, EasyBoss has the right to delete or block the relevant content at any time without notice, and depending on the circumstances of the behavior, the offending account is subject to penalties including, but not limited to, warnings, restrictions or bans on the use of all or part of the functions, account bans, cancellation and other penalties, and the announcement of the results of processing. EasyBoss has the right to keep records of suspected violations of laws and regulations, suspected illegal and criminal acts, and report to the relevant authorities in accordance with the law, with the relevant authorities to investigate. The company has the right not to return the deleted content.

2. You shall bear full legal responsibility for any third party complaints or lawsuit claims arising from your violation of this Agreement or other provisions of this Agreement. You shall also fully indemnify EasyBoss and its affiliates for all losses suffered by EasyBoss and its affiliates as a result of your violation of law or breach of contract that results in compensation to any third party or punishment by state authorities.

3. The company respects and protects the intellectual property rights, reputation rights, name rights, privacy rights and other legal rights and interests of legal persons and citizens. You warrant that the text, video, audio, links, etc. you upload using EasyBoss do not infringe any third party's intellectual property rights, rights of reputation, rights of name, rights of privacy, and other legal rights and interests. Otherwise, EasyBoss reserves the right to remove the allegedly infringing content upon receipt of notice from the right party or related parties. You shall bear full legal responsibility for all claims made by third parties; if your infringement causes EasyBoss and its affiliates to suffer losses (including but not limited to economic, goodwill and other losses), you shall also fully compensate EasyBoss and its affiliates for all losses suffered.

 

VI. Interruption and termination of services

1. You understand and agree that EasyBoss reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) at any time, with or without notice. You agree that EasyBoss shall not be liable to you or any third party for any modification, suspension or termination of the Service, and that you shall properly update, back up and transfer your data.

2. Due to your violation of this Agreement, EasyBoss has the right to interrupt or terminate one or more of the Services according to the actual situation, and in case of serious violation, EasyBoss will directly terminate your right to use EasyBoss.

3. If you disagree with the content of this Agreement, or are dissatisfied with the services provided by EasyBoss, you may exercise the following rights.

(1) Stop using the EasyBoss account service.

(2) Cancellation of your account by yourself or by notifying EasyBoss of the cancellation. Cancellation of your account will result in the deletion of your personal information, data, design details, etc. on EasyBoss, and the corresponding rights and obligations of you and EasyBoss will terminate (without termination of any of your obligations for damages), and EasyBoss will not be liable for the transmission of any unprocessed information or incomplete services to you.

VII. Third-party products and services

1. When you use the products or services provided by third parties in EasyBoss, you shall comply with the user agreement of the third party in addition to this Agreement. If any dispute arises from your use of products or services provided by a third party, you and the third party shall be responsible for resolving the dispute, and EasyBoss shall not be liable for it.

2. When you use the products or services provided by third parties in EasyBoss, EasyBoss may call third-party systems or support the user's use or access through third parties, the results of the use or access provided by such third parties, EasyBoss does not guarantee the security, accuracy, effectiveness and other uncertain risks of the services and content provided through third parties, and any disputes and damages arising therefrom are not the responsibility of EasyBoss. EasyBoss has nothing to do with, and EasyBoss does not assume any responsibility.

VIII. Advertising

1. EasyBoss may contain advertising, which is a reasonable and legitimate business model of EasyBoss and its affiliates, you agree to receive advertising or other information (including commercial and non-commercial information) published by EasyBoss and its affiliates or its third-party partners in the course of using EasyBoss, the specific form of delivery and display, frequency and content of the information to be provided by EasyBoss The specific form, frequency and content of the information sent and displayed are subject to the actual provision of EasyBoss.

2. any form of communication or business dealings between you and advertisers and other third parties through the Site, or participation in promotional activities, including payment and delivery of related goods or services, and any other related terms, conditions, warranties or representations agreed to, solely between you and the advertisers and other third parties. You are solely responsible for judging the truthfulness of the advertised information and for your own judgment, and except as expressly provided by law,Dingmaier ERP shall not be liable for any loss or damage of any nature suffered by you as a result of any of the foregoing transactions or the foregoing advertisers and other third parties.

IX. Value-added services

1. EasyBoss will charge for some services, and may also adopt a separate fee model for some services in the future, and adjust and improve the fee standard and method of payment model according to actual needs. If you need to pay for additional items, we will set up a special service agreement, please review and comply with the relevant agreement. If you do not agree to the agreement and its modifications and changes, you may suspend the use of value-added services. If you are a minor under the age of 18, please read the agreement on value-added services carefully with your legal guardian and choose whether to accept the agreement and the services.

2. In the event that EasyBoss reduces the rates of value-added services or changes the paid services to free services, EasyBoss reserves the right not to provide refunds or fee adjustments to the original paid users.

X. Disclaimers

You must carefully read and agree to all of the following terms and conditions in order to use EasyBoss or any future updates to EasyBoss. If you do not agree to any of the following terms, please do not use EasyBoss or any updates to it. By using EasyBoss, you agree to all of the following terms and conditions. All disputes and complaints resulting from non-compliance with the following provisions are the sole responsibility of the person or entity, and not of EasyBoss.

EasyBoss's product moving, product copying, product collection function is only used for the user's own multi-store product loading, or to obtain authorization from others. Without the authorization of others, you may not use EasyBoss to collect information from other stores, open the same stores or generate commodity data packages for dissemination to others. Any legal or platform rules issues resulting from the use of unauthorized data shall be the sole responsibility of the user or the unit.

2, the use of commodity moving, commodity copy, commodity collection function for commodity data on the goods, due to different e-commerce platform rules, some attributes of the platform will default to fill in the commodity information, copy, please carefully check whether the commodity information is wrong, especially when it comes to commodity prices, inventory, discounts, patent number, patent type, 3C certification number, brand (including but not limited to) and other sensitive information, if there is a mistake, please promptly Modify to avoid legal risks caused by errors in product information. If you do not check carefully, you may be judged by the official platform violation or reported by professional counterfeiters, etc. All consequences caused by the person or the unit will be borne by themselves.

3、If the function of EasyBoss infringes on the legitimate interests of the third party platform, please inform us in time, we will rectify it at the first time after confirmation.

4, the user in the use of EasyBoss process, the interests of any third party damage caused by the user himself or herself or the unit to bear.

5. you understand and agree that the Dingmai erp software and related services may be affected or interfered with by a variety of factors, and therefore Dingmai erp does not warrant (including, without limitation) that.

(1) Fully adapted to the user's requirements.

(2) be uninterrupted, timely, secure, reliable or error-free; and that any software, services or other materials obtained by the user through EasyBoss meet the user's expectations.

(3) Any errors in the software will be able to be corrected.

6. You understand and agree that you may encounter force majeure and other factors (force majeure means an objective event that cannot be foreseen, overcome and avoided) in the use of EasyBoss, including but not limited to governmental actions, natural disasters, network causes, hacking attacks, war or any other similar events. In the event of force majeure, the Company will endeavor to repair the situation in a timely manner at the first opportunity, but you agree that the Company shall not be liable for any damage caused to the user as a result of force majeure.

7. you expressly understand and agree that EasyBoss provides no warranties or conditions of any kind, express or implied, with respect to the services in this agreement, including, but not limited to, commercial merchantability, fitness for a particular purpose, etc. your use of the software and related services under this agreement is at your own risk.

8. You expressly understand and agree that your use of the Service is at your own risk, including but not limited to any damage to your cell phone or loss of data resulting from the download of any materials; your uploading of text, information, materials, music, photographs, graphics, video, information or other personal data to the Internet, which may be copied, reproduced, or otherwise used by other organizations or individuals.

Eleven, browser plug-in use agreement

You can choose to install our browser plug-in and use the following features.

1. Accelerated local acquisition speed. After installing the browser plug-in, we will open the specified web page in the browser you are using and collect the information in the web page according to your own request. Whether or not the web page you requested can be opened normally and get the content depends on your current browser environment and your account permissions. Please be aware that we do not have access to information that cannot be viewed with your own account privileges.

2. Join Mutual Accelerator. If you open and capture multiple web pages at the same time, it will consume your browser's network bandwidth and performance resources. Therefore, the "Mutual Acceleration" feature can use network sharing technology to share idle resources, helping you and other users to accelerate each other's acquisition speed and acquisition success rate. When you choose to join Mutual Accelerator, when you request a product link, we may forward your requested product link to someone else's idle browser and have that person's browser send a browser request instead of yours to help you collect information better and faster, and we may also use your browser to help others collect information when you have idle resources. Please be aware that this feature is only used to obtain publicly available web information and does not involve any personal privacy or sensitive data.

3. One-click collection of the web pages of the source platform. We will extend the function of your browser to provide a collection button while your browser is viewing the web page, and after you click the button, the content of the web page you can currently view will be saved to your specified location.

4. Automatically monitor changes in information on the source platform. After you turn on this function, while you browse the product information in your browser, we automatically record the product information and compare it with the product information of your store, and remind you to deal with it when the price, stock and other information changes. Please know that this feature is only used to obtain public product information and does not involve any personal privacy or sensitive data.

5. We provide the entrance to open and close the above functions. You can turn on or off the above functions in [My] - [Plugin Settings] or [Product Loading] - [Settings] at the bottom right corner.

XII. Intellectual Property Rights Statement

1. Fuzhou Jianqiyun Network Technology Co., Ltd. is the owner of the intellectual property rights of EasyBoss and services. All copyrights, patents, trademarks, trade secrets and other intellectual property rights of EasyBoss, as well as all information content related to EasyBoss (including but not limited to text, images, audio, video, interface design, layout frames, electronic documents, etc.) are protected by the People's Republic of China and the corresponding international treaties, except those belonging to others according to law.

2. Without the written consent of EasyBoss, you may not implement, exploit, or transfer the above intellectual property rights for any commercial or non-commercial purposes by yourself or by a third party, and EasyBoss reserves the right to pursue legal liability for such actions.

3. You understand and agree that the text, images, video, audio, etc. that you post and upload while using the EasyBoss Platform and related services are either original to you or have been legally licensed (including sublicensed). The intellectual property rights of the content you create through EasyBoss belong to you or the original copyright holder.

4. You agree to grant EasyBoss a free, non-exclusive, worldwide right to collect, use, store, manage and protect User Content generated by you in the course of the Service for the purpose of providing, optimizing and promoting the Service.

XIII. Complaint mode and processing

1. If you find any infringement of your rights within the EasyBoss platform, please immediately notify EasyBoss through the EasyBoss software within the customer service (customer service email: service@mail.easyboss.com), providing preliminary evidence that you have the relevant rights, EasyBoss will handle your complaint in a timely manner in accordance with the legal provisions. If you are using the content produced by EasyBoss is related to the rights of the complainant infringement, you can also submit a counter-notice to the EasyBoss software customer service and related rights to prove the material, to make a complaint, the company will also be in accordance with the legal provisions of the timely processing of your complaint.

2. EasyBoss encourages you to participate in maintaining and monitoring the compliance and cleanliness of the environment in which EasyBoss is used. Whether EasyBoss actively discovers your inappropriate or illegal behavior, or if EasyBoss initially identifies your inappropriate or illegal behavior based on a report or complaint, EasyBoss reserves the right to take immediate and unannounced action as necessary to stop such behavior from continuing.

 XIV. Other terms

1. You are deemed to have read and agreed to be bound by this Agreement by logging in and using EasyBoss.

2. After you complete the registration of EasyBoss, we may introduce the functions and sales to you through phone calls or wechat, including but not limited to software ordering and other related value-added services. If you choose not to receive such calls or messages, please inform our customer service at that time and we will not contact you at your request.

3. EasyBoss reserves the right to modify this Agreement in accordance with changes in national policies, technical conditions, product features, etc., and to post the modified Agreement. You may review the terms of this Agreement in the latest version of EasyBoss. If you continue to use EasyBoss after the terms of this Agreement have been changed, you are deemed to have accepted the revised Agreement.

4. The place of signing this Agreement is Futian District, Shenzhen, People's Republic of China.

5. The laws of the mainland of the People's Republic of China (excluding the Okinawa Law) shall apply to the establishment, entry into force, performance, interpretation and dispute resolution of this Agreement.

6. If any dispute or controversy arises between you and EasyBoss, it shall first be settled through friendly consultation; if consultation fails, you agree to submit the dispute or controversy to the jurisdiction of the people's court of the place where this Agreement is signed.

7. The headings of all terms and conditions of this Agreement are for convenience only and have no actual meaning in themselves and shall not be relied upon for the interpretation of the meaning of this Agreement.

8. The terms of this Agreement shall remain valid and binding on the Parties, regardless of whether they are partially invalid or unenforceable for any reason.
